Terms of Service

Version 1.0Last updated: 3 October 2026

These are business-to-business terms for the Gen318 platform. They are written in plain English. If anything is unclear, write to hello@gen318.com before you rely on it.

1. About these terms

These terms govern use of the Gen318 platform. Gen318 is provided by Arnen Technologies Limited, a private company incorporated in Nigeria (RC 9839547), trading as Gen318, with its registered office at No. 6 Lawrence Ayodele Street, Arab Road, Kubwa, Federal Capital Territory, Nigeria ("Gen318", "we", "us").

"Customer" or "you" means the organisation that signs an Order Form with us or creates an account. The person accepting these terms confirms they have authority to bind that organisation.

If you have a signed Order Form or other written agreement with us, it takes priority over these terms where the two conflict.

These terms do not apply to visitors who only browse gen318.com. Our Privacy Notice applies to them.

2. Definitions

  • Service — the Gen318 operator console and API at app.gen318.com, the technician app, the Gen318 edge node software, and related reports and support.
  • Customer Data — data you, your users, your equipment or your connected third-party systems put into the Service, including site and equipment records, telemetry, work orders, photos and personal data.
  • Third-Party System — equipment, monitoring platforms, metering platforms and other services not provided by Gen318, such as those of Victron Energy, SparkMeter, Huawei, Growatt or Odyssey Energy Solutions.
  • Order Form — a signed order, quote or agreement that sets your subscription, fees and any service levels.
  • User — a person you allow to use the Service under your account, including technicians.

3. Accounts and access

3.1 You choose who gets access and with what role. You are responsible for your Users' actions under your account.

3.2 Keep credentials secret. Tell us promptly at security@gen318.com if you suspect an account has been compromised.

3.3 The Service supports multi-factor authentication, and we recommend it for every User. We recommend it most strongly for account owners.

3.4 You must give accurate information when you create an account and keep it up to date.

4. Your data

4.1 You own Customer Data. Nothing in these terms transfers ownership to us.

4.2 You grant us a licence to host, copy, process and display Customer Data only as needed to provide, secure and support the Service for you, and as you instruct.

4.3 Personal data. For personal data in Customer Data, you are the controller and we are your processor. We process it only on your documented instructions, which include these terms, your Order Form and your use of the Service's settings. Our Privacy Notice describes the processing. If you need a separate data processing agreement, ask us and we will agree one with you in writing.

4.4 Features that combine data across customers are off unless you opt in. The Service includes three such settings, each off by default: publication in the Gen318 Annual Index; an anonymised parts-demand signal shared across customers; and a reserved research-corpus setting that has no live product. We will not switch any of them on for you without your consent.

4.5 Service data and models. We may use technical data about how the Service runs (for example performance, error and security logs) to operate, secure and improve it. The Service's prediction and forecasting models are fitted using data held in the platform, which can include your Customer Data. Outside the opt-in settings in section 4.4, we will not show your Customer Data to another customer, or identify you or your sites to another customer.

4.6 We do not sell Customer Data and do not use it for advertising.

4.7 Your responsibilities for Customer Data. You confirm that:

  • you have the right to put Customer Data into the Service and to have us process it;
  • you have a lawful basis, and have given any notices required, for the personal data of your staff, contractors and customers that you put into the Service; and
  • where you connect a Third-Party System, you are the system owner or have the system owner's express permission to share its data with us, and you will keep a record of that permission and give it to us if a Third-Party System provider asks for it.

5. Third-party systems

5.1 The Service can read data from Third-Party Systems that you connect. Your use of each Third-Party System is governed by your agreement with its provider. We are not responsible for Third-Party Systems, their availability, their data, or changes their providers make to them.

5.2 Data from Third-Party Systems is provided for operational information. It is subject to those providers' terms. Some providers restrict how their data may be used; for example, a provider may state that its data is not a basis for settling accounts or for evidencing energy fed into the grid. You must not use data from a Third-Party System in a way its provider's terms prohibit.

5.3 You can withdraw a connection at any time by removing the credentials in the Service or by revoking our access with the provider. We then stop collecting new data from that system.

5.4 A provider may charge for access to its data. If a connection you ask for carries a provider charge, we will tell you before we connect it. We will not pass a provider charge on to you unless you have agreed to it in writing.

5.5 We store the credentials you give us for Third-Party Systems encrypted, and use them only to collect data for you.

6. Edge nodes and equipment

6.1 A Gen318 edge node is a small computer installed at a site to collect data from equipment and keep working when the internet connection drops.

6.2 Unless your Order Form says otherwise, you own the edge node hardware installed at your sites, and you are responsible for insuring it and for replacing it if it is lost or damaged. Installation and any return arrangements are as set out in your Order Form.

6.3 You will provide safe access, power and a network connection for the edge node, and will not tamper with it or move it to another site without telling us.

7. Control features and operational decisions

7.1 The Service is an information and decision-support tool. You remain responsible for operating, maintaining and keeping safe your energy assets and for any decision you take.

7.2 Some features can generate commands for equipment (for example generator dispatch) or create work orders automatically. These features are off by default. While they are off, the Service records and audits commands but does not send them to equipment. We switch one on only after you ask us in writing, naming the feature and the sites, and you can ask us to switch it off again at any time.

7.3 The Service is not a protection system. Do not rely on it to prevent harm to people or equipment. Keep your own protection, safety and emergency procedures in place.

8. Reports and submissions

8.1 Reports, statements and records produced by the Service are calculated from the data the Service received. Their accuracy depends on that data. Where data is missing or late, the Service says so rather than filling the gap with an estimate; where a figure is modelled or estimated, the Service labels it.

8.2 You must review a report before you rely on it or submit it to a programme, regulator, lender or customer. Submission is your decision. Automatic submission of compliance reports to Odyssey Energy Solutions is off by default. When it is on, the Service blocks automatic submission if data coverage for the period is below 95% or if any simulated data is present in the period.

8.3 We do not guarantee that any programme, regulator, lender or counterparty will accept a report.

9. Acceptable use

You will not, and will not let anyone else:

  • use the Service in breach of law, including data-protection, electricity and telecommunications law;
  • try to access another customer's data, or probe, scan or test the Service's security except under our security policy;
  • run load or denial-of-service tests against the Service;
  • interfere with dispatch or control features on a live site you are not authorised to operate;
  • reverse engineer the Service, except where the law allows it;
  • resell or provide the Service to third parties, except as your Order Form allows;
  • upload malware, or files that pretend to be something else; or
  • put false or simulated data into the Service and present it as real measurements.

10. Availability and support

10.1 We work to keep the Service available, but we do not promise a particular level of availability or response time unless your Order Form sets one.

10.2 We may carry out maintenance and release updates. Releases are deployed automatically after our automated checks pass.

10.3 Support is provided by email at hello@gen318.com on Nigerian business days, unless your Order Form says otherwise.

11. AI features

11.1 Some features use AI to summarise, explain or suggest. Those that send data to an external AI provider are off by default.

11.2 If you ask us to enable one, the data needed to answer each request is sent to the AI provider we name to you before it is enabled, under that provider's terms.

11.3 AI output can be wrong. Check it before you act on it. Actions the copilot proposes need a person's approval before they run.

12. Fees and payment

12.1 Fees, currency, billing frequency, payment terms, taxes, and any trial or pilot terms are set in your Order Form. These terms contain no prices.

12.2 Unless your Order Form says otherwise, fees are exclusive of value added tax and other applicable taxes.

13. Intellectual property

13.1 We own the Service, including its software, models, methods, documentation and designs, and all improvements to them. You get no rights in the Service except the right to use it under these terms and your Order Form.

13.2 You own Customer Data and the reports generated from it for you. You may use, share and publish those reports. If you change a report, do not present the changed version as one produced by Gen318.

13.3 If you give us feedback, we may use it without any obligation to you.

14. Confidentiality

14.1 Each party will keep the other's confidential information confidential, use it only for this relationship, and share it only with people who need to know it and are bound by similar duties.

14.2 This does not apply to information that is public through no fault of the receiving party, was already known to it, is independently developed, or is lawfully received from someone else.

14.3 A party may disclose confidential information where the law requires, after telling the other party where the law allows.

14.4 These duties last for the subscription and five years after it ends.

15. Security

We protect the Service and Customer Data with technical and organisational measures, including database-enforced separation between customers, encryption of stored vendor credentials, multi-factor authentication, an append-only audit log, and encrypted off-site backups. The Privacy Notice describes these measures and what we have not yet done. If we confirm a breach affecting personal data in your Customer Data, we will tell you without undue delay, and within 72 hours of confirming it.

16. Suspension

We may suspend access, in whole or in part, if:

  • you fail to pay an undisputed amount within 30 days after we give you written notice that it is overdue;
  • your use threatens the security, integrity or availability of the Service or another customer's data; or
  • the law requires it.

We will limit the suspension to what is necessary, tell you why, and restore access once the reason is resolved. Where possible we will give notice first.

17. Term and termination

17.1 These terms apply from when you first accept them until your subscription ends. Subscription length and renewal are set in your Order Form.

17.2 Either party may end the subscription by written notice if the other materially breaches these terms and does not fix the breach within 30 days of notice.

17.3 Neither party may end the subscription early for convenience unless the Order Form allows it.

18. Your data when the subscription ends

18.1 Before your subscription ends, you can export your data. The Service provides report, CSV and personal-data export tools. You can also ask us in writing before the subscription ends for an export of your telemetry in a machine-readable format.

18.2 After the subscription ends, we delete your account. Deletion runs after a 30-day grace period and removes your data across the platform. Deleted data then expires from our encrypted backups on their normal schedule, which is up to 6 months.

18.3 We keep records the law requires or that prove we handled data properly: the audit log, records of data export, deletion and consent, and the breach register.

18.4 Where a Third-Party System provider requires us to delete its data when our agreement with that provider ends, we will do so.

19. Warranties and disclaimers

19.1 Each party confirms it has the power to enter into these terms.

19.2 We will provide the Service with reasonable skill and care.

19.3 Except as stated in these terms, the Service is provided "as is". To the extent the law allows, we exclude all other warranties, including fitness for a particular purpose and that the Service will be uninterrupted or error-free. We do not warrant the accuracy of data from Third-Party Systems, predictions, forecasts or AI output.

20. Limitation of liability

20.1 Neither party is liable for indirect or consequential loss, or for loss of profit, revenue (including grant funding and tariff income) or data, however caused.

20.2 Each party's total liability under these terms is limited to the fees you paid us in the 12 months before the event giving rise to the claim.

20.3 Nothing limits liability for death or personal injury caused by negligence, for fraud, or for any liability the law does not allow to be limited.

21. Indemnity

You will defend and indemnify us against third-party claims arising from Customer Data, from your connection of a Third-Party System without the necessary permission, or from your breach of section 9.

22. Changes to these terms

We may update these terms. We will post the new version on this page with its date, and tell account owners by email or in the Service at least 30 days before a change that materially reduces your rights takes effect. Changes do not apply to a signed Order Form for its current term unless you agree.

23. Governing law and disputes

23.1 These terms are governed by the laws of the Federal Republic of Nigeria.

23.2 The parties will first try to settle a dispute by good-faith discussion between senior representatives for 30 days.

23.3 A dispute that is not settled that way goes to the courts of the Federal Capital Territory, Abuja.

24. General

  • Assignment. Neither party may transfer these terms without the other's written consent, except to a successor of its whole business.
  • Subcontractors. We may use subcontractors and sub-processors. We remain responsible for them.
  • Force majeure. Neither party is liable for delay caused by events outside its reasonable control, including grid failure, network outages and failures of Third-Party Systems.
  • Notices. Notices to you go to the addresses in your Order Form or your account. Notices to us go to hello@gen318.com, marked "Legal notice", and by post to our registered office.
  • Entire agreement. These terms, your Order Form and any data processing agreement we sign with you are the whole agreement about the Service.
  • Severability. If a court finds part of these terms unenforceable, the rest stays in force.
  • No waiver. Not enforcing a right is not a waiver of it.
  • Publicity. Neither party will name the other as a customer or partner in public without written consent.
